Agreement and eligibility

These Terms are a binding agreement between RSAngel (“RSAngel”, “ActionDock”, “we”, “us”) and the individual or entity accepting them (“Customer”, “you”). By creating a workspace, buying a subscription or top-up, connecting an agent, or using the Service, you agree to these Terms, the Acceptable Use Policy, the Refund Policy, and the processing described in the Privacy Policy.

You must be at least 18 and able to enter a binding contract. If you use the Service for an organisation, you represent that you have authority to bind it. The Service is intended principally for business and professional use. Mandatory consumer rights remain unaffected where they apply.

“Agent” means any AI system, automation, application, script, employee, contractor, or other process that uses your workspace. “Customer Content” means data, prompts, instructions, files, recipients, credentials, outputs, and other materials submitted by or for you. “Action” means an operation requested through the Service, including sending an email, initiating or transferring a call, researching, or generating text or media.

Service and accounts

Subject to these Terms and payment, RSAngel grants you a limited, non-exclusive, non-transferable, revocable right to access the Service during your subscription. Features, providers, limits, and prices may change. We will give notice of material changes where reasonably possible or legally required.

You must provide accurate account and billing information; keep API keys, credentials, connected accounts, and recovery methods confidential; use separate keys where appropriate; and promptly revoke compromised credentials. You are responsible for every request authenticated to your workspace, including requests by an Agent or person to whom you gave access.

You may not resell, sublicense, white-label, benchmark for publication, reverse engineer, defeat safety or billing controls, scrape the Service, or use it to build a competing execution platform except with our prior written permission.

Agent control and legal relationship

You choose the Agent, objective, prompts, data, recipients, phone numbers, provider accounts, approval mode, budgets, geographic scope, and operational limits. You must maintain meaningful human oversight appropriate to the risk. “Supervised” mode and approval prompts are technical aids only; they do not replace your legal review, consent process, or judgment.

An Agent is not an employee, representative, fiduciary, partner, or legal agent of RSAngel. The Agent has no authority to bind RSAngel, make commitments for RSAngel, or act in RSAngel’s name. RSAngel supplies technical infrastructure and does not direct your campaign, communication, decision, or relationship with any recipient.

You must review outputs and planned side effects before relying on them. AI systems can misunderstand instructions, fabricate facts, select the wrong recipient, create infringing material, behave unpredictably, or take unintended actions. You must configure spend, rate, call-duration, geography, recipient, and approval limits; monitor execution; test in a safe environment; maintain a stop mechanism; and promptly suspend access if behaviour is unexpected.

Your content, authority, and compliance

You are solely responsible for Customer Content, Agent selection and configuration, Actions, outputs, recipients, and the consequences of using or failing to stop the Service. You represent and warrant that:

• you own Customer Content or have all rights, permissions, licences, lawful bases, and consents needed to submit and use it;
• every email, call, transfer, generated message, and other communication complies with privacy, anti-spam, telemarketing, automated-dialling, call-recording, consumer-protection, advertising, intellectual-property, employment, sanctions, and sector-specific laws;
• you will identify yourself and the automated or AI nature of a communication whenever law, provider rules, context, or reasonable recipient expectations require it;
• you will honour opt-outs, suppression lists, do-not-call registers, time-of-day restrictions, and requests to stop;
• you will not use the Service for emergency services, safety-critical operations, or high-impact decisions about a person; and
• you will comply with the Acceptable Use Policy and every connected provider’s terms.

We may provide templates, model output, safety settings, or operational suggestions. They are general technical assistance, not legal, financial, medical, compliance, or professional advice and do not establish that your use is lawful.

Subscriptions, execution balance, and payment

Lemon Squeezy acts as merchant of record for purchases. Its checkout, buyer terms, privacy notice, tax treatment, supported payment methods, invoices, and transaction controls also apply. You authorise recurring charges for the selected billing cycle until cancellation.

Plan fees provide access and may include a monthly execution balance. Included balance resets on the stated schedule and does not roll over. Purchased top-up balance remains until used unless refunded, charged back, required to expire by law, or the account is terminated for cause. Provider-priced Actions debit the applicable balance based on measured usage and the published billing unit; estimates are not guarantees. We may reserve estimated cost before an Action and settle the actual amount afterward.

You must maintain enough balance for paid Actions. If measured use exceeds a reservation, a refund removes previously granted balance, or provider adjustments arrive later, your workspace may have an uncovered balance. You must pay it before further execution. We may correct billing errors, reverse duplicate credits, suspend paid Actions, or set reasonable limits to prevent loss or abuse.

You can cancel a subscription through the customer portal. Cancellation normally takes effect at the end of the paid period. Refund eligibility is governed by the Refund Policy, Lemon Squeezy’s rights as merchant of record, and mandatory law.

Third-party services and availability

The Service interoperates with independent AI, communications, payment, hosting, networking, and delivery providers. Their terms and privacy practices apply directly to your use where relevant. They may reject, delay, filter, alter, retain, suspend, or bill requests. RSAngel does not control and is not responsible for third-party services, networks, models, delivery, content, outages, policy changes, prices, or decisions.

The Service may be changed, rate-limited, interrupted, or discontinued. We do not promise continuous availability, a specific provider, successful delivery, recipient response, call connection, model quality, output accuracy, profitability, regulatory approval, or any particular result. Maintenance, security incidents, internet failures, provider failures, and force-majeure events may affect operation.

Customer Content, intellectual property, and feedback

You retain ownership of Customer Content. You grant RSAngel and its subprocessors a worldwide, non-exclusive, limited licence to host, copy, transmit, transform, display, and otherwise process Customer Content only to provide, secure, support, and comply with law for the Service. You instruct us to send relevant content to providers that you invoke.

RSAngel and its licensors own the Service, software, design, documentation, pricing methods, trademarks, and aggregated or de-identified operational information. No rights are granted except those expressly stated. If you send feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or obligation.

You are responsible for determining whether AI-generated output can be owned, used, registered, or licensed and whether it infringes third-party rights. We make no representation about output ownership, originality, or non-infringement.

Privacy and confidentiality

Our handling of personal data is described in the Privacy Policy. For Customer Content processed on your behalf, you are the controller or business and RSAngel is the processor or service provider unless applicable law provides otherwise. You authorise the subprocessors and international transfers reasonably needed to provide the Service.

Each party will use reasonable care to protect the other party’s non-public information and use it only for this agreement. Confidentiality does not cover information that is public without breach, independently developed, rightfully received without duty, or required to be disclosed by law. We may preserve or disclose information where reasonably necessary to investigate abuse, protect the Service or a person, enforce these Terms, or comply with legal process.

Suspension and termination

We may immediately limit, block, or suspend an Action, Agent, key, workspace, or account if we reasonably believe it creates security, legal, financial, safety, provider, reputation, or abuse risk; violates these Terms; causes an uncovered balance; threatens the Service; or could expose any person to harm. We may preserve relevant evidence and cooperate with providers or authorities as permitted by law.

You may stop using the Service and cancel your subscription at any time. We may terminate the agreement for material breach, repeated violations, non-payment, provider restrictions, legal requirements, or discontinuation. On termination, your licence ends, keys may be revoked, pending Actions may be cancelled, and data will be handled under the Privacy Policy. Provisions that by nature should survive—including payment, responsibility, disclaimers, liability limits, indemnity, and dispute terms—survive.

Disclaimers

RSAngel disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, security, availability, legality, and warranties arising from course of dealing. We do not warrant that an Agent will follow instructions, that safety controls will prevent every misuse or mistake, or that outputs or Actions are correct, lawful, appropriate, complete, unique, deliverable, or free of harmful content.

You are responsible for independent human review, backups, recipient verification, legal review, and safeguards proportionate to the potential impact. No statement by RSAngel creates a warranty unless expressly included in a signed written agreement.

Limitation of liability

To the maximum extent permitted by law, RSAngel and its representative, personnel, affiliates, and suppliers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profit, revenue, goodwill, opportunity, contracts, business, anticipated savings, use, or data; cost of substitute services; reputational harm; recipient or regulatory claims; provider charges; or damage arising from an Agent’s output, communication, transaction, omission, recipient selection, call, transfer, or other Action, even if advised that such damage was possible.

To the maximum extent permitted by law, the aggregate liability of RSAngel and those parties for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees paid or payable by you for the Service during the three months immediately before the event giving rise to liability, or (b) USD 100.

These exclusions and limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. Nothing in these Terms excludes, restricts, or modifies liability or rights that cannot lawfully be excluded, including liability for RSAngel’s fraud, wilful misconduct, or gross negligence to the extent applicable law prohibits exclusion.

Indemnity for business customers

If you use the Service for business or professional purposes, you will defend, indemnify, and hold harmless RSAngel and its representative, personnel, affiliates, and suppliers from claims, investigations, penalties, fines, losses, damages, settlements, costs, and reasonable legal fees arising from or related to: Customer Content; an Agent or Action; your recipients, campaigns, calls, messages, products, or services; your breach of these Terms or provider terms; your violation of law or another person’s rights; your credentials or account; or a dispute between you and any user, recipient, customer, employee, contractor, or provider.

We will notify you of a covered claim where reasonably possible and may control the defence or require your cooperation. You may not settle a claim in a way that admits fault by, imposes obligations on, or fails to release RSAngel without our written consent. This section does not apply to a consumer to the extent prohibited by mandatory law.

Governing law and disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. The courts with jurisdiction over RSAngel’s registered place of business will have exclusive jurisdiction, except where mandatory consumer or procedural law gives you another forum or right.

Before filing a claim, each party will make a good-faith attempt to resolve it by written notice and 30 days of direct discussion, unless urgent injunctive relief is reasonably needed.

General terms

These Terms and incorporated policies are the entire agreement about the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a reorganisation, financing, sale, or transfer of the Service.

We may update these Terms prospectively. Material changes will be posted with a new effective date and, where required, notified to account holders. Continued use after the effective date constitutes acceptance where permitted; if you do not agree, stop using the Service and cancel before the change takes effect.
